Website Management Service Agreement

1. Introduction

This Service Agreement (“Agreement”) defines the terms and conditions under which MJF Ventures LLC DBA Fitzgerald Tech Solutions (“Service Provider”) offers Website Management Services (“Services”) to the client (“Client”). The document specifies services that are included and excluded, detailing the responsibilities and rights of both the Service Provider and the Client.

2. Services Provided

The Service Provider agrees to perform the following Website Management Services for the Client:

2.1. Security Updates

  • Regular Updates: Application of security patches and updates to ensure website protection against vulnerabilities.

2.2. Content Updates

  • Maintenance Updates: Regular updates to website content as provided by the Client, including text and images. This service has a hard limit of 10 posts/mo or the paid monthly hours, whichever is lower.

2.3. Backup and Disaster Recovery

  • Data Backups: Regular backups of the website data and databases.
  • Recovery Services: Rapid restoration of data in the event of data loss.

2.4. Theme Updates

  • Theme Maintenance: Updates to the website theme to ensure compatibility and functionality with the latest security patches and technologies.

2.5. Minor Bug Fixes

  • Troubleshooting: Identification and resolution of minor bugs, at the Service *Provider’s discretion, affecting the website’s performance or user experience.

2.6. Bi-weekly Check-in Meetings

  • Regular Meetings: If Requested, Scheduled bi-weekly meetings to discuss website status, upcoming requirements, and any issues needing resolution.

3. Exclusions from Service

The following services are expressly excluded from this Agreement:

3.1. Additional Feature Additions

  • New Functionality: Any new features or significant functionality additions will be scoped and priced separately.

3.2. Application Integrations

  • Third-party Integrations: Integration with external applications or services not covered under standard management is excluded.

3.3. Social Media Management

  • Social Media Services: Management and maintenance of social media accounts and campaigns are not included.

3.4. Content Creation

  • Original Content Production: Creation of original content, such as writing articles, creating graphics, or producing videos, is not covered.

3.5. Website Design and Development

  • Design and Overhaul: Any major redesign or development work on the website, at the discretion of the Service Provider, is outside the scope of this Agreement.

4. Legal Terms and Conditions

  • Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Illinois.
  • Terms and Conditions: This agreement also includes the Fitzgerald Tech Solutions Terms of Service
  • Limitation of Liability: The Service Provider will not be liable for any indirect, incidental, or consequential damages resulting from the provision of the Services.
  • Amendments: Changes or amendments to this Agreement must be made in writing and signed by both parties.
  • Severability: If any part of this Agreement is deemed unenforceable, the remainder will continue to be in effect.
  • Duration and Termination: This Agreement will take effect on the date of signing and will continue until terminated by either party with written notice of 30 days.
